Corbion's Legal, IP & Compliance Department acts as one global team, supporting the business on a broad range of legal, intellectual property, corporate governance, and compliance matters. The department currently consists of 12 professionals located in the Netherlands, the United States, and Brazil.

This position is based in Amsterdam, the Netherlands, with the opportunity to work hybridly (remote up to a maximum of two days per week). You will report directly to the General Counsel & Company Secretary.

 

About the Role

As Corporate Paralegal, you will play a central role in supporting Corbion's global corporate governance framework and legal entity management. Working closely with the General Counsel & Company Secretary, you will help ensure compliance with Dutch corporate law, support the Supervisory Board and shareholder governance processes, and contribute to Corbion's obligations as a publicly listed company on Euronext Amsterdam.

You will be responsible for a broad range of corporate governance, regulatory compliance, company secretarial, and legal entity management activities. The role requires close collaboration with internal stakeholders across the globe, external legal advisors, notaries, regulatory authorities, and members of Corbion's Supervisory Board.

 

Key Responsibilities

  • Manage the corporate housekeeping of Corbion's legal entities worldwide, including:

    • Drafting board and shareholder resolutions.

    • Maintaining statutory and shareholder registers.

    • Coordinating filings with Chambers of Commerce and other local authorities.

    • Liaising with external counsel and corporate service providers.

  • Manage Corbion's global authorized signatory framework, including:

    • Drafting powers of attorney.

    • Maintaining authorization records and internal overviews.

  • Support the General Counsel & Company Secretary in communications with the global Supervisory Board, including meeting planning, administration, and distribution of materials.

  • Organize, prepare, and minute meetings of Supervisory Board committees and other governance bodies.

  • Support the preparation and execution of the Annual General Meeting of Shareholders, including:

    • Preparing corporate governance documentation.

    • Drafting agendas and convocation notices.

    • Coordinating publication requirements.

    • Liaising with external advisors and financial institutions.

  • Ensure compliance with applicable regulatory and stock exchange requirements, including required filings with the Dutch Authority for the Financial Markets (AFM).

  • Administer and maintain Corbion's Insider Trading Policy, including:

    • Maintaining insider lists.

    • Communicating closed periods.

    • Preparing and distributing required notifications.

  • Organize, prepare, and minute meetings of the Dutch Supervisory Board.

  • Support the Business Conduct Committee in the administration of whistleblower and speak-up investigations, including maintaining records within the applicable case management system.

  • Provide administrative and governance support to the Compliance Team.

  • Coordinate notarizations, legalizations, apostilles, and other corporate formalities involving notaries and governmental authorities.

  • Support colleagues worldwide with questions relating to Corbion's legal entity structure, corporate governance framework, and authorization processes.

 

About You

You are a highly organized legal professional who combines attention to detail with strong stakeholder management skills. You are comfortable working independently, managing multiple priorities, and operating in an international corporate environment.

Qualifications & Experience

  • 10+ years of experience as a paralegal, legal assistant, company secretarial professional, or comparable legal support role.

  • Experience supporting Dutch lawyers, legal teams, corporate departments, or law firms.

  • Bachelor's degree in Law or a related legal discipline is preferred.

  • Demonstrable experience with Dutch corporate law and Dutch corporate legal processes.

  • Experience coordinating legal entity management, corporate housekeeping, and corporate governance activities.

  • Experience with corporate filings, powers of attorney, board documentation, and statutory registers.

  • Experience working within an international organization, multinational company, or law firm environment is preferred.

  • Excellent written and verbal communication skills in both Dutch and English.

  • Proficient in Microsoft Office and document management systems.

  • Possession of a recognized typing diploma.

  • Available for 32–40 hours per week.
